Subject of the service
UDesign is a business-to-business (B2B) software platform for creating and managing multi-brand, multi-language product catalogues, organised as Company → Brand → Product, with features including a catalogue repository, tree-view classification, multi-language content management, automatic translation, image handling and import from spreadsheets.
These Terms of Service govern the use of UDesign by client organisations and their authorised users. UDesign is provided for professional use and does not constitute a consumer contract.

Accounts and access
Access requires a user account, created by registration or by invitation from a client organisation. You are responsible for keeping your credentials confidential and for activity carried out under your account.
You must provide accurate account information and be authorised to act on behalf of the organisation you represent.
We may suspend or terminate access in case of breach of these Terms, security risk, or where required by law.
Acceptable use
You agree to use UDesign only for lawful purposes and in accordance with these Terms. You must not attempt to gain unauthorised access, disrupt the service, upload malicious code, or use the service to store or distribute unlawful content.
You must not place special categories of personal data, or any personal data beyond what the catalogue's legitimate business purpose requires, in free-text catalogue fields.
Client content and responsibility
The client organisation retains all rights in the catalogue data, brand information, business contacts and other content it uploads to UDesign ("Client Content").
With respect to personal data contained in Client Content — in particular business contacts (contact name, email, telephone, address, geographic coordinates) — the client organisation is the data controller and UDesign acts as data processor on the client's behalf, under the data-processing terms in the section below.
The client warrants that it has a valid legal basis to upload and process such personal data and to entrust it to UDesign, and that it has provided any notices and obtained any consents required by applicable law.
Intellectual property
UDesign — including its software, design, structure and documentation — is and remains the property of [COMPANY LEGAL NAME] and its licensors. These Terms grant you a non-exclusive, non-transferable right to use the platform for the duration of the relationship; no other rights are granted.
Client Content remains the property of the client organisation. By uploading Client Content, the client grants UDesign the limited rights necessary to host, process and display it for the sole purpose of providing the service.
Data processing (Art. 28 GDPR)
Where UDesign processes personal data on behalf of the client organisation as processor, the following terms apply. A separate Data Processing Agreement may supplement or replace this section.
Subject matter, duration, nature and purpose
UDesign processes Client Content personal data solely to provide the catalogue-management service, for the duration of the agreement, and only on the documented instructions of the client (including configuration choices such as which translation provider is enabled).
Types of data and categories of data subjects
Typically: identification and contact data (name, email, telephone, address, coordinates) of the client's business contacts and, where present, of individuals referenced in catalogue text. The client must not include special categories of personal data.
Sub-processors
The client authorises UDesign to engage the sub-processors listed in the Privacy Policy (authentication, automatic translation, geocoding, email delivery). UDesign will inform the client of intended changes to its sub-processors and will impose equivalent data-protection obligations on them.
Security
UDesign applies appropriate technical and organisational measures, including hashed passwords, transport encryption (HTTPS/HSTS), access controls, audit logging and rate limiting.
Assistance and breach notification
Taking into account the nature of the processing, UDesign assists the client in responding to data-subject requests and in meeting its security, breach-notification and impact-assessment obligations, and will notify the client without undue delay after becoming aware of a personal data breach.
Return or deletion
On termination, UDesign will, at the client's choice, return or delete Client Content personal data, except where storage is required by law.
Audit
UDesign makes available the information necessary to demonstrate compliance with Art. 28 GDPR and allows for and contributes to audits, subject to reasonable confidentiality and security arrangements.
Confidentiality
Each party will keep confidential the other party's non-public information obtained in connection with the service and use it only as necessary to perform these Terms.
Warranties and disclaimer
The service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free, nor the accuracy of machine-translated content.
Limitation of liability
To the maximum extent permitted by law, UDesign shall not be liable for indirect, incidental or consequential damages, loss of data, loss of profits or business interruption arising from the use of, or inability to use, the service. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
Term and termination
These Terms apply for as long as you use the service. Either party may terminate in accordance with the applicable order or agreement. On termination, access ceases and data is handled as described in the data-processing section above and in the Privacy Policy.
Changes to these Terms
We may update these Terms. Material changes will be notified to client organisations. Continued use of the service after the effective date constitutes acceptance.
Governing law and jurisdiction
These Terms are governed by Italian law. Any dispute arising out of or in connection with them shall be subject to the exclusive jurisdiction of the courts of [COMPETENT COURT / VENUE], without prejudice to any mandatory provisions of law.
